This session will focus on current tax-exempt issues affecting health care organizations. In particular, this session will focus on the Community Benefit Standard, the impact of the Form 990, Schedule H, and the details of Section 501(r), which was enacted as part of the Patient Protection and Affordable Care Act of 2010 (PPACA) and the regulations that have followed. In addition, the session will provide a brief overview of accountable care organizations (ACOs) and issues related to these types of organizations.

John Crawford utilizes his extensive tax law background and experience to advise nonprofit, social enterprise, and for-profit clients.

John represents all types of nonprofit organizations, assisting these clients with their formation, planning and structuring issues, and operational matters, including: qualifying organizations for tax exemption; governance issues; executive compensation issues; private benefit/inurement/intermediate sanctions issues; joint ventures and for-profit subsidiary planning; unrelated business income planning; charitable solicitation matters; political activities and lobbying issues; compliance with private foundation rules; issues related to supporting organizations.

John's for-profit tax practice focuses on the CMBS area relating to real estate mortgage investment conduits (REMICs) and other real estate-based investment pools. Lauren K. Mack, Of Counsel | Polsinelli

Lauren Mack is highly experienced with tax-exempt organization and finance issues and focuses her practice on federal tax matters for nonprofit and health care organizations. Lauren counsels and represents hospitals, health care organizations, and other tax-exempt organizations in connection with a wide variety of tax planning matters.

On behalf of these organizations, she: provides advice in connection with corporate and transactional matters; assists clients with exemption applications, private letter ruling requests, audits, and closing agreements; counsels clients on tax compliance and governance matters.

Lauren has also been involved in a broad of range of tax-exempt financings, serving as bond counsel and counseling borrowers (including health care organizations, cultural institutions, schools, and universities), underwriters, and banks (as liquidity and/or credit providers).

She advises clients with respect to transaction structuring, as well as post-closing tax compliance. Lauren also represents clients before the IRS in connection with audits, closing agreements under the IRS's Voluntary Compliance Program, and private letter rulings. [Bio]
